Statement of Policy and Procedures for Inventions and Works -- USF Policy 0-300
All University employees must disclose inventions or other works to the Division of Patents & Licensing according to this policy and procedures statement:

Invention Disclosure Form - Inventions
File this form to disclose any discovery, invention, process, composition of matter, article of manufacture, know-how, design, model, technological development, strain, variety, or culture of any organism, or portion, modification, translation, or extension of these items, and any mark used in connection with these items.
Disclosure of Work Form - Copyright
File this form to disclose works of authorship which comprise a body of information which may be protected by copyright. This would include printed material, computer software or data bases, audio and visual material, circuit diagrams, architectural and engineering drawings, lectures, musical or dramatic compositions, choreographic works, pictorial or graphic works, and sculptural works.

Confidential Disclosure Agreements (CDA)
Confidential Disclosure Agreements (CDA), sometimes called secrecy or nondisclosure agreements , are contracts entered into by two or more parties in which some or all of the parties agree that certain types of information that pass from one party to the other or that are created by one of the parties will remain confidential. They protect sensitive technical or commercial information from disclosure to others. One or more participants in the agreement may promise to not disclose technical information received from the other party. If the information is revealed to another individual or company, the injured party has cause to claim a breach of contract and can seek injunctive and monetary damages.
A confidentiality agreement should be put in place at the start of any collaborative relationship, joint project, consultancy or sponsored research, as a clear understanding at the outset. This often prevents problems from arising after discussions or collaborations begin.

Material Transfer Agreements (MTA) are contractual instruments that govern the exchange of research materials and tools between organizations. The types of material exchanged may be used in all areas of research from agriculture and biology to chemistry and computer science. MTAs are typically used when the material to be transferred is proprietary, unique, or trade secret. MTAs address the ownership and use of transferred materials and modifications and derivatives made by the recipient. Often MTAs address confidentiality, publication rights, and rights to inventions and research results.
Research materials or tools being sent from the University of South Florida will need to have an executed Material Transfer Agreement before the actual transfer occurs.
